高通公司居於行動通訊標準必要專利權人地位所為之特殊商業運作模式深受世界各國競爭法主管機關注目，臺灣公平交易委員會亦曾作成行政處分認定高通公司行使專利權之行為，違反公平交易法之規定。惟於高通公司不服前開處分所提起之行政訴訟中，公平交易委員會竟與其達成訴訟上之和解，此舉引起各界議論。本文遂以高通案為背景，釐清公平交易委員會與高通公司之和解性質為何，並審查其合法性，同時指出目前以締結行政契約作為公平交易法上基於合意之事件處理程序有所不足。因此，擬以日本獨占禁止法上之承諾程序為觀察對象，比較其與臺灣公平交易委員會和解程序之異同，再於此基礎上，提出公平交易法之修法建議。
